1. Acceptance of Terms
By accessing or using ShortClip ("the Service") at shortclip.pro, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
ShortClip is an AI-powered platform that analyzes long-form video content and automatically generates short-form clips optimized for platforms such as TikTok, Instagram Reels, and YouTube Shorts. The Service includes clip detection, auto-captioning, viral scoring, brand kit application, and multi-platform export.
3. Eligibility
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
4. Accounts
When you create an account, you must provide accurate and complete information. You are responsible for safeguarding your password and for all activity that occurs under your account. You agree to notify us immediately at hello@shortclip.pro of any unauthorized use of your account. ShortClip is not liable for any loss or damage arising from your failure to comply with these obligations.
5. Acceptable Use
You agree not to use the Service to:
• Process video content that you do not have the legal right to use or distribute • Infringe any copyright, patent, trademark, trade secret, or other intellectual property right • Upload or process content that is illegal, defamatory, obscene, or harmful • Attempt to gain unauthorized access to any portion of the Service or its related systems • Reverse-engineer, decompile, or disassemble any part of the Service • Use the Service in any way that violates applicable law or regulation • Resell or redistribute the Service without our written permission
6. Content Ownership and License
**Your Content** — You retain all ownership rights to the video content you submit. By submitting content, you grant ShortClip a limited, non-exclusive, royalty-free license to process and transform your content solely for the purpose of delivering the requested output to you.
**Our Content** — The Service, including its software, design, text, graphics, and all other content created by ShortClip, remains the exclusive property of ShortClip. No license to our intellectual property is granted by these Terms other than the right to use the Service as permitted.
7. Subscriptions and Billing
ShortClip offers paid subscription plans billed monthly. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as expressly set forth in our refund policy or required by law.
We reserve the right to change pricing with 30 days' advance notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.
8. Free Trial
New accounts include a 7-day free trial with full access to the features of the selected plan. No credit card charge occurs during the trial. If you do not cancel before the trial ends, you will be automatically enrolled in the paid plan and charged accordingly.
9. Cancellation
You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain full access to the Service until that date. ShortClip does not pro-rate or provide refunds for unused time in a billing period.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ShortClip does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
11. Limitation of Liability
To the fullest extent permitted by applicable law, ShortClip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if ShortClip has been advised of the possibility of such damages.
In no event shall ShortClip's total liability to you exceed the amount you paid to ShortClip in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless ShortClip and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your use of the Service, your content, or your violation of these Terms.
13. Termination
ShortClip may suspend or terminate your access to the Service at any time, with or without cause or notice, if we believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
15. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date. Material changes will be communicated via email or a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
